Terms and Conditions:
The following are the terms and conditions for subcontractors who are contracted by Axis Satellite, LLC. You must read them completely and sign below acknowledging that you have read and understand these conditions:
We require a W-9 form to be filled out by all contractors.
Axis Satellite, LLC requires that our subcontractors supply proof of insurance covering workers compensation, automobile, and general liability. If this proof is not supplied a payment deduction may be applied to cover the premiums which are detailed below.
Minimum required limits will be:
- General Liability: $500,000 Aggregate
Workmen's Compensation breakdown:
- Each Accident: $100,000
- Each Employee: $100,000
- Policy Limit: $500,000
Note: Axis Satellite, LLC must be named as "additionally insured" on the certificates as follows:

If either or both of the insurance certificates cannot be supplied Axis Satellite, LLC reserves the right to deduct an applicable premium of 5% for lack of one or both insurance certifications.
Under the state for which you are licensed if you are not required to have a Workers Compensation policy for privately owned no employees provision.
Non-Compete
Other than with the express written consent of Axis Satellite, LLC, which will not be unreasonably withheld, the Contractor will not, during the continuance of this Agreement or within three (3) years after the termination of this Agreement, divert or attempt to divert from Axis Satellite, LLC any business Axis Satellite, LLC has enjoyed, solicited, or attempted to solicit, from other individuals or corporations, prior to termination of this Agreement.
Non-Solicitation
The Contractor agrees that, during the term of this Agreement, and for a period of three (3) years after the termination of the Agreement, the Sub-Contractor will not in any way directly or indirectly:
- Induce or attempt to induce any employee or other service provider of Axis Satellite, LLC to quit employment or retainer with Axis Satellite, LLC;
- Otherwise, interfere with or disrupt Axis Satellite, LLC relationship with its employees or other service providers;
- Discuss employment opportunities or provide information about competitive employment to any of Axis Satellite, LLC employees or other service providers; or Solicit, entice, or hire away any employee or other service provider of Axis Satellite, LLC.
Non-Disclosure
The Contractor agrees that under the terms of this Agreement the Contractor will not in any way directly or indirectly disclose to competitors, customers, or potential customer of Axis Satellite, LLC any of the following and is not limited to the list below:
- Any satellite price offers, programming costs, specific hardware, hardware, and equipment uses, or internet pricing and hardware information.
- Any consumer electronics, automation equipment, audio/video distribution, or structured cabling cost or pricing.
- Any net markup pricing of any products and/or services supplied to customers, potential customers, or vendors of Axis Satellite, LLC.
- Any installation costs and techniques used during negotiations.
- Any trademark installation practices or equipment knowledge that is gained while supporting Axis Satellite, LLC customers or potential customers.
Capacity/Independent Contractor
In providing the Services under this Agreement it is expressly agreed that the Contractor is acting as an independent contractor and not as an employee. The Contractor Axis Satellite, LLC acknowledges that this Agreement does not create a partnership or joint venture between them, and is exclusively a contract for service.
Code of Conduct
Contractors are to represent themselves in a professional manner and must enforce the same to any employees/helpers on the job representing Axis Satellite, LLC.
All completed work orders and invoices should be sent to customersupport@axissatellite.com within 48 hours of completion. Please include any time on customer site, date of service, customer signatures, detailed information on troubleshooting and completed solution, photographs before and after a repair, parts used (Axis Supplied), and parts used (Contractor Supplied to receive compensation or equivalent from distributors).
Work orders not received within 48 hours of completion will not be guaranteed for payment within 30 days.
